Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of TabHR’s platform, website, APIs, and related services (collectively, the “Service”). By creating an account, creating or using virtual employees, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Acceptable Use and Prohibited Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are strictly prohibited from using the Service, or directing or allowing any virtual employee or other use of the Service, to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Engage in, promote, facilitate, or encourage any illegal or illicit activity, including but not limited to fraud, money laundering, terrorism financing, drug trafficking, human trafficking, or any other criminal conduct.
  • Infringe or violate the intellectual property, privacy, or other rights of any third party.
  • Harass, abuse, defame, threaten, or harm any person or entity.
  • Distribute malware, phishing, spam, or other harmful or deceptive content.
  • Attempt to gain unauthorized access to any system, network, or data.
  • Use the Service for any purpose that could damage, disable, or impair the Service or any third party.

TabHR reserves the right to suspend or terminate your access immediately, without notice, if we believe you have violated these Terms or engaged in any prohibited conduct. You remain solely responsible for all use of the Service under your account and for any virtual employees you create or control.

3. Virtual Employees; Inherent Risks

TabHR provides tools to create and deploy AI-powered virtual employees. These virtual employees are highly capable and may perform a wide range of tasks, including communication, automation, and access to integrated services. You acknowledge and agree that:

  • Virtual employees can have inherent risks depending on how you configure, instruct, and utilize them.
  • You are solely responsible for the instructions, data, and use cases you provide and for all outputs or actions taken by virtual employees under your account.
  • We do not guarantee the accuracy, appropriateness, or legality of any output or action of a virtual employee.
  • You will use virtual employees in a manner consistent with these Terms and all applicable laws.

4. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT, FEATURES, AND FUNCTIONALITY ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TABHR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

5. Limitation of Liability; Your Responsibility

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TABHR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL TABHR’S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TABHR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

YOU ASSUME FULL RESPONSIBILITY AND LIABILITY FOR ALL USE OF THE SERVICE UNDER YOUR ACCOUNT, INCLUDING ALL ACTIONS AND OUTPUTS OF VIRTUAL EMPLOYEES YOU CREATE OR CONTROL. YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS TABHR AND ITS AFFILIATES AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS’ FEES) ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, YOUR VIOLATION OF THESE TERMS, YOUR VIOLATION OF ANY LAW OR THE RIGHTS OF A THIRD PARTY, OR ANY CONTENT, INSTRUCTION, OR USE OF VIRTUAL EMPLOYEES UNDER YOUR ACCOUNT.

6. Account and Data

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us promptly of any unauthorized use. We may suspend or terminate your account in accordance with these Terms or our policies. Our handling of personal data is described in our Privacy Policy.

7. Intellectual Property

The Service, including its design, features, and content (other than content you provide), is owned by TabHR or its licensors and is protected by intellectual property laws. You do not acquire any ownership rights by using the Service. You retain ownership of content you submit; you grant us a license to use, store, and process that content as necessary to provide and improve the Service.

8. Termination

We may terminate or suspend your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including limitations of liability, indemnification, and dispute resolution) will survive termination.

9. Changes

We may modify these Terms at any time. We will post the updated Terms on this page and update the “Last updated” date. Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service.

10. General

These Terms constitute the entire agreement between you and TabHR regarding the Service and supersede any prior agreements. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute shall be resolved in the courts located in Delaware, and you consent to personal jurisdiction there.
